This is the agreement between your business and Site33. We design, build, host and look after your website; you send accurate content on time and pay monthly or yearly in advance. The minimum term is 12 months from launch, then the plan runs month to month with 30 days' notice. If you cancel before 12 months, you pay 50% of the fees left in the minimum term plus any launch discount you received. Your domain, content and business data stay yours; the design and code are licensed to you while you subscribe, and after 24 months you can buy a permanent licence to a static copy of your website.

Part 1: Basics

In plain words

This agreement is between Site33 and your business. It works together with your order form and our policies.

1.1Who this agreement is between

This Master Service Agreement ("Agreement") is between [SITE33 LEGAL ENTITY NAME], trading as Site33, [REGISTERED ADDRESS] ("Site33", "we") and the client named in the Order Form ("Client", "you").

1.2Business use only

The services are for business or professional use. By signing, you confirm you are at least 18 years old and authorised to bind the business named in the Order Form.

1.3Definitions

"Website" means the website we build and host for you. "Platform" means Site33's own software, templates, code, designs, hosting setup and automations used to provide the Website. "Client Content" means text, images, logos, data and other material you provide. "Order Form" means the signed order stating plan, price and term.

1.4How the documents fit together

The contract consists of the Order Form, this Agreement and the policies listed in the Order Form. If they conflict, the order of priority in the Order Form applies.

Part 2: Our services

In plain words

We design, build, host, maintain and support your website with your plan's features. Delivery time counts from the day we have all your content. We follow best practice, but nobody can guarantee rankings, leads or mentions by AI tools.

2.1What we provide

We design, build, host, maintain and support the Website with the features of your plan as listed in the Feature Matrix version referenced in your Order Form, plus any add-ons you order.

2.2Templates and design

Websites are built on Site33 templates customised with your brand. Fully custom design is an add-on. Similar layouts may be used for other clients; your Client Content will not be.

2.3Delivery time

Delivery times run from the day we receive all required content (see Content Checklist), not from payment. Delays caused by late content, approvals or third parties extend delivery time.

In plain words: Your delivery clock starts when we have all your content, not when you pay.

2.4Edits

Your plan includes a monthly number of edits. One edit is up to 30 minutes of small changes (text, image, price, timing). Unused edits do not carry forward. Larger work is quoted separately via a Change Request.

In plain words: 1 edit = up to 30 minutes of small changes. Unused edits do not roll over.

2.5Targets, not guarantees

Speed, SEO, AEO/GEO and ranking work follows best practice, but we do not guarantee any ranking, number of visitors, leads, sales or mentions by search engines or AI assistants, because these depend on third parties.

In plain words: We do our best for Google and AI search, but nobody can promise rankings or leads.

2.6Third-party services

The services use third-party providers (e.g. hosting/CDN, domain registries, Google, Meta/WhatsApp, payment gateways, couriers, email providers). Their terms apply to that part of the service. We are not responsible for their outages, price changes, policy decisions (such as a WhatsApp number restriction) or discontinued features, but we will help you find a workaround.

2.7AI features

AI chatbots and AI-generated content can be inaccurate. You must review AI output before relying on it. AI features must not be used to give medical, legal or financial advice; for regulated businesses the chatbot will be limited to general information and booking/contact help.

2.8Subcontractors

We may use vetted subcontractors bound by confidentiality and IP assignment. We remain responsible for their work.

2.9Changes to features

We may improve or replace features or providers, provided the overall service of your plan is not materially reduced.

Part 3: Your responsibilities

In plain words

You send accurate content you have the right to use, hold any licences your profession needs, handle your customers' data properly and reply to review requests within 5 working days.

3.1Content and accuracy

You provide accurate, lawful Client Content on time and are responsible for the claims, prices, offers and information on your Website.

3.2Rights to content

You confirm you own or have permission to use all Client Content (photos, logos, fonts, testimonials, product images) and that it does not infringe anyone's rights.

3.3Licences and professional rules

If your business is regulated (e.g. doctors, dentists, lawyers, engineers, real-estate, food, education, financial services), you hold the required licences and you are responsible for following your profession's advertising rules.

3.4Your customers' data

You are responsible for how you use enquiries, orders and customer data from your Website, for having a valid privacy policy (we provide a template), and for collecting opt-in before sending WhatsApp, SMS or email marketing.

3.5Acceptable use

You will follow the Acceptable Use Policy.

3.6Account security

Keep any logins we give you confidential and tell us immediately about any suspected misuse.

3.7Cooperation

Reply to review requests within 5 working days. If you do not respond to a launch review link within 5 working days, the Website is treated as approved and billing continues.

In plain words: If you don't reply to the launch review link within 5 working days, the website counts as approved.

Part 4: Fees and payment

In plain words

You pay in advance, monthly or yearly. Setup fees are paid before work starts and taxes are extra. A flat late fee applies after 7 days, and the website may be paused after 15 days unpaid.

4.1Fees

You pay the fees in the Order Form in advance for each billing period. Per-day prices are shown for comparison only; billing is monthly or yearly.

4.2Setup fee

Setup fees (where stated) are payable before work starts.

4.3Taxes

Fees exclude sales tax, VAT and other taxes, which are added where applicable. If you are required by law to withhold income tax, you must provide the withholding certificate within 30 days; otherwise the withheld amount remains payable.

4.4Late payment

If an invoice is unpaid 7 days after its due date a flat late fee of [Rs 500 / USD 5] applies. We do not charge interest.

In plain words: More than 7 days late: a flat late fee applies. No interest.

4.5Suspension

If an invoice is unpaid 15 days after its due date we may suspend the Website (shown as 'temporarily unavailable') after written notice. Suspension does not stop fees from accruing.

In plain words: After 15 days unpaid, we may pause your website after telling you in writing.

4.6Disputed invoices

Tell us in writing within 7 days of the invoice date if you dispute any amount, with reasons. Undisputed amounts remain payable on time.

4.7Price changes

Prices are fixed during the minimum term. After that we may change prices with 30 days' written notice; you may cancel before the change takes effect.

4.8Chargebacks

An unjustified card chargeback or payment reversal is a breach of this Agreement; we may suspend services and recover the amount plus any bank fee.

Part 5: Term and offers

In plain words

The minimum term is 12 months from launch, then month to month with 30 days' notice. Yearly plans give 12 months for the price of 10. Launch discounts depend on completing the minimum term: if you cancel early, the discount is repaid.

5.1Start

The Agreement starts when you sign the Order Form (or accept electronically) and runs until terminated.

5.2Minimum term

The minimum term is 12 months from launch. If you delay required content for more than 30 days after first payment, the minimum term starts from the first payment date.

In plain words: The 12 months start at launch, unless you hold back your content for more than 30 days after paying.

5.3Continuation

After the minimum term the subscription continues month-to-month until either party gives 30 days' written notice.

5.4Yearly billing

Yearly plans are billed for 10 months and provide 12 months of service. The 2 free months are a discount for completing the year.

5.5Upgrades and downgrades

Upgrades apply from the next billing date (or immediately with a pro-rata charge). Downgrades apply from the next billing date after the minimum term, and may remove features.

5.6Offer clawback

Launch or promotional discounts are given on condition that you complete the minimum term. If you cancel early, the discount received becomes repayable.

In plain words: Launch discounts are repaid if you leave before the 12 months are over.

Part 6: Ownership and licence

In plain words

Your content, domain and business data are yours. Site33 owns the platform, design and code and licenses them to you while you subscribe. After 24 months you can buy a permanent licence to a static copy for 6 times your monthly fee.

6.1Your content

You keep full ownership of your Client Content, your domain name and your business data (enquiries, orders, bookings). You can request an export at any time.

6.2Our Platform

Site33 owns the Platform: the website design, layout, templates, source code, components, automations, configurations and documentation, including all customisations we create for you, unless you buy them out under clause 6.5.

6.3Licence to you

While your subscription is active and paid, we grant you a non-exclusive, non-transferable licence to use the Website for your business.

6.4No copying

You may not copy, download, reproduce or host the Website's design or code elsewhere, or ask anyone else to do so, except under a buyout. Copying after termination infringes Site33's copyright and we may take action, including takedown requests to hosting providers.

6.5Buyout

After 24 months of paid service, you may buy a permanent licence to a static copy of your Website for a fee equal to 6 times your current monthly fee. Before 24 months the buyout fee equals the remaining fees of the first 24 months. A buyout excludes the Site33 Platform tools, automations, CMS and third-party licences.

In plain words: After 24 months, 6 times your monthly fee buys a permanent licence to a static copy of your website.

6.6Licence of your content to us

You give us a licence to use your Client Content only to provide the services. If you give portfolio permission in the Intake Form, we may show your Website in our portfolio; you can withdraw this at any time.

6.7If Site33 stops trading

If Site33 permanently stops providing the service, we will give you a free static copy of your Website and your data, and help move your domain.

Part 7: Confidentiality and data

In plain words

Both sides keep each other's business information private. We protect your data with reasonable security and tell you without undue delay about a breach that affects it.

7.1Confidentiality

Each party keeps the other's non-public business information confidential and uses it only for this Agreement, during the Agreement and for 2 years after it ends.

7.2Personal data

Site33's Privacy Policy explains how we handle your personal data. When we handle your customers' data on your behalf, we act on your instructions; international clients (and any client who requests it) sign the Data Processing Addendum.

7.3Security

We use reasonable security measures (SSL, access control, backups, updates, monitoring). No system is completely secure; we will notify you without undue delay of any breach affecting your data.

Part 8: Liability

In plain words

Service credits are the remedy for downtime. Each side's liability is capped at the fees you paid in the 6 months before a claim, with exceptions such as fraud and unpaid fees. Keep your own copies of important content too.

8.1Service credits

Service credits under the SLA are your sole financial remedy for downtime.

8.2Cap

Each party's total liability under this Agreement is limited to the fees paid by you in the 6 months before the claim arose.

In plain words: Neither side can claim more than the fees you paid in the last 6 months.

8.3Excluded losses

Neither party is liable for indirect or consequential loss, including loss of profits, revenue, business opportunity, goodwill or data that could have been restored from backup.

8.4Not limited

Nothing limits liability for fraud, wilful misconduct, your payment obligations, your indemnity in clause 8.5, or any liability that cannot be limited by law.

8.5Your indemnity

You will compensate Site33 for losses and reasonable legal costs from third-party claims arising from your Client Content, your products or services, your use of customer data, or your breach of the Acceptable Use Policy.

8.6Backups

We keep daily backups as a service convenience. You should keep your own copies of important content and data.

Part 9: Termination

In plain words

After 12 months you can cancel with 30 days' notice. Cancelling earlier costs 50% of the fees left in the minimum term plus any launch discount received. After the agreement ends, we release your domain and give you your content on request.

9.1Cancellation by you

After the minimum term, cancel with 30 days' written notice via the Exit Form, email or the registered WhatsApp number.

9.2Termination by us

We may terminate with written notice if: fees are unpaid 30 days after the due date; you materially breach this Agreement and do not fix it within 14 days; you breach the Acceptable Use Policy seriously (immediate suspension allowed); or you abuse or threaten our staff.

9.3Early cancellation charge

If you cancel before the end of the minimum term, or we terminate for your breach, you pay 50% of the fees remaining in the minimum term plus any repayable discount (cl. 5.6). Both parties agree this is a genuine pre-estimate of Site33's setup, build and committed costs, and not a penalty.

In plain words: Leaving early costs half of the fees left in the minimum term, plus any launch discount you received.

9.4Yearly plans

If you cancel a yearly plan early, the months used are recalculated at the monthly price and the clause 9.3 charge is applied; any balance is refunded within 30 days. If we terminate without your fault, unused months are refunded pro-rata.

9.5After termination

The Website goes offline 7 days after termination. We will provide your Client Content and business data (CSV/ZIP) on request within 30 days, then delete it within a further 30 days (backup copies expire within 14 days after that), except records we must keep by law.

In plain words: Your website goes offline 7 days after the agreement ends. On request, we hand over your content and data within 30 days.

9.6Domain

We will release your domain (transfer code / registrant handover) within 7 days of request once all undisputed invoices are paid. The domain remains registered in your name throughout.

In plain words: Your domain is always in your name. We hand it over within 7 days once undisputed invoices are paid.

9.7Survival

Clauses on payment owed, ownership, confidentiality, liability, termination effects and disputes survive termination.

Part 10: General

In plain words

Changes to this agreement come with 30 days' written notice, and you can leave without the early cancellation charge if a change materially reduces your rights. Electronic signatures and 'I AGREE' messages count.

10.1Force majeure

Neither party is liable for delay caused by events beyond reasonable control (e.g. natural disasters, war, government action, internet or power outages, provider failures). Payment obligations for services already provided continue.

10.2Changes to this Agreement

We may update this Agreement or the policies with 30 days' written notice. If a change materially reduces your rights, you may cancel without any early cancellation charge before it takes effect.

In plain words: We give 30 days' notice of changes. If a change takes away important rights, you can leave without the early cancellation charge.

10.3Notices

Notices are valid when sent to the registered email or WhatsApp number in the Order Form, or to Site33 at [SITE33 EMAIL] / [SITE33 WHATSAPP].

10.4Electronic acceptance and records

The parties agree that electronic signatures, click-acceptance and 'I AGREE' messages from registered contacts are valid and binding, and that electronic records are admissible as evidence (Pakistan: Electronic Transactions Ordinance 2002; UAE: Federal Decree-Law No. 46 of 2021; elsewhere: applicable e-signature laws).

10.5Assignment

You may not transfer this Agreement without our written consent. We may transfer it to a successor business with notice.

10.6Entire agreement

The documents listed in the Order Form are the entire agreement and replace earlier discussions. Messages or promises not written into the Order Form are not binding.

10.7Severability

If any clause is found unenforceable, it is reduced to the minimum extent necessary and the rest remains in force.

10.8No waiver

Delay in enforcing a right does not waive it.

10.9Independent parties

Nothing creates a partnership, agency or employment relationship.

We first try to settle any dispute by talking for 15 days. Pakistan clients: Pakistan law and arbitration in [CITY]. The English version of this agreement is the one that counts.
